
Keysight to Divest Spirent Units to VIAVI Following U.S. DOJ Antitrust Agreement

As part of a consent agreement with the U.S. Department of Justice (DOJ), Keysight Technologies Inc. (NYSE: KEYS) has agreed to transfer some business units from Spirent Communications to VIAVI Solutions Inc. (NASDAQ: VIAV). The decision is meant to deal with antitrust matters regarding Keysight’s planned $1.5 billion purchase of Spirent Communications.

The DOJ required Spirent to sell its businesses for high-speed Ethernet testing, network security testing, and radio frequency (RF) channel emulation. All of these units together generate around 40% of Spirent’s total revenue. The DOJ pointed out that the merger could result in less competition, which might cause prices to go up and reduce innovation in the telecommunications testing business.
In March, Keysight said it would sell these particular assets to VIAVI Solutions for up to $425 million in cash. Once the acquisition is effective, this transaction is expected to be completed soon.
A proposed settlement and an Asset Preservation and Hold Separate Stipulation and Order have been filed by the DOJ in court. The DOJ has required Keysight and Spirent to sell the specified business lines to VIAVI or another approved acquirer, which they have agreed to do.
As a result of this development, Keysight can complete its acquisition of Spirent, making sure it respects antitrust rules and preserves fairness in the testing and measurement industry.
